4. Eligibility & Partner Access
4.1 Any individual or entity may apply to become a Partner.
4.2 Access to project information is restricted and granted only after:
submission of required details;
acceptance of disclosures and risk acknowledgements; and
manual approval by Blackwall Ventures.
4.3 Approval is discretionary and may be withdrawn at any time without obligation to provide reasons.
5. No Public Offer or Solicitation
5.1 Nothing on the platform constitutes:

an invitation to invest;
an offer or solicitation of securities under applicable law.
5.2 All opportunities displayed are private placements, available only to approved partners and subject to separate, offline documentation.

8.1 Users may submit a non-binding Expression of Interest for projects.
8.2 Submission of an EOI:
does not create any obligation;
does not guarantee participation;
does not constitute acceptance or allocation.
9. Fees and Compensation
9.1 Blackwall Ventures may earn revenue through:
project management or execution fees;
sponsor capital participation;
cost reimbursements or service fees.
9.2 All fees are:
disclosed in relevant documentation;
approved as required under applicable agreements;
not linked to assured or guaranteed returns.
10. Risk Disclosure
10.1 Participation in projects involves commercial, financial, regulatory, and market risks.
10.2 Returns, if any, are not assured and depend on project execution and market conditions.
10.3 Users acknowledge and accept that they may lose part or all of their capital.
11. User Obligations
Users agree to:
provide accurate and complete information;
maintain confidentiality of platform content;
not misrepresent their intent or capacity;
comply with all applicable laws and regulations.
12. Prohibited Conduct

15. Termination of Access

revoke partner status;

at its sole discretion, without liability.
16. Limitation of Liability

Blackwall Ventures shall not be liable for any direct, indirect, incidental, or consequential losses;
no liability is assumed for project outcomes, delays, or failures.
17. Indemnity
Users agree to indemnify and hold harmless Blackwall Ventures from any claims, losses, or liabilities arising from:
misuse of the platform;
breach of these Terms;
violation of applicable laws.
18. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India.
Courts at Odisha shall have exclusive jurisdiction.
19. Modifications
Blackwall Ventures may update these Terms from time to time.
Continued use of the platform constitutes acceptance of revised Terms.
